These Terms of Service ("Terms") govern your access to and use of Worthic websites, applications, services, software, support channels, and related features (the "Service"). The Service is provided by Worthic Systems (Pty) Ltd, trading as Worthic ("Worthic", "we", "us", or "our").
By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of a company, organisation, trust, family office, partnership, or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
1. The Service
Worthic is a document-first accounting and finance workspace for individuals and businesses. It helps users upload, store, organise, extract, review, categorise, report on, and analyse financial and administrative records, including transactions, documents, real estate records, investments, budgets, cashflow, and related workspace data.
The Service may include AI-assisted features for extraction, categorisation, review, suggestions, summarisation, anomaly detection, and workflow assistance.
2. Eligibility
You must be at least 18 years old to use the Service. You may not use the Service if you are legally prohibited from doing so or if we have suspended or terminated your account.
We may restrict, suspend, or refuse access where required by law, sanctions rules, payment provider rules, operational limitations, security risks, or abuse prevention.
3. Accounts and workspaces
You are responsible for:
- providing accurate account information;
- keeping login credentials confidential;
- maintaining appropriate workspace access controls;
- ensuring invited users are authorised;
- all activity under your account or workspace, except where caused by Worthic's breach of these Terms;
- promptly notifying us of unauthorised access or security incidents.
Workspace owners and administrators control membership, permissions, workspace content, and user access within their workspaces.
4. Customer content
"Customer content" means information, documents, records, files, transactions, notes, settings, and other material that you or authorised users submit to the Service.
You retain ownership of your customer content. You grant Worthic a limited, worldwide, non-exclusive licence to host, store, reproduce, process, transmit, display, and use customer content only as necessary to provide, secure, support, improve, and operate the Service, comply with law, and enforce these Terms.
You represent that you have the rights and authority needed to upload and process customer content in the Service, including personal information relating to other people.
5. User responsibilities
You are responsible for:
- reviewing and verifying all records, extracted data, suggestions, reports, classifications, calculations, and outputs before relying on them;
- maintaining original documents and records where required for accounting, tax, audit, legal, or compliance purposes;
- determining whether Worthic is suitable for your use case;
- complying with laws that apply to your business, records, taxes, reporting, employees, customers, vendors, real estate, investments, and regulated activities;
- obtaining any required consents before uploading third-party personal information or documents.
6. No regulated advice
Worthic provides software and operational assistance. Worthic is not a bank, accountant, auditor, tax practitioner, financial adviser, investment adviser, legal adviser, broker, payment institution, or regulated professional service provider.
The Service, including AI-assisted features and reports, is not accounting, tax, audit, investment, financial, legal, or compliance advice. You should consult qualified professionals before relying on outputs for material financial, tax, legal, investment, regulatory, or business decisions.
7. AI-assisted features
AI-assisted features may produce incomplete, inaccurate, outdated, or unsuitable outputs. AI suggestions are assistance only and do not replace human judgement or professional review.
You must review and verify AI outputs before relying on them. You are responsible for final categorisation, reporting, filing, accounting treatment, tax treatment, legal treatment, and business decisions.
Worthic does not use customer documents, customer financial data, or workspace content to train third-party foundation models or general AI models unless we obtain explicit opt-in consent.
8. Acceptable use
You must not:
- use the Service unlawfully or fraudulently;
- upload content you do not have authority to process;
- infringe intellectual property, privacy, confidentiality, or other rights;
- attempt to reverse engineer, copy, scrape, overload, disrupt, or compromise the Service;
- bypass access controls, security controls, rate limits, or payment controls;
- introduce malware or harmful code;
- use the Service to process criminal proceeds, evade tax, launder money, finance terrorism, violate sanctions, or facilitate unlawful activity;
- misrepresent Worthic outputs as professional advice or certified financial statements;
- use the Service to build a competing product in a way that violates applicable law or these Terms.
9. Subscriptions, trials, and add-ons
Worthic may offer free trials, paid subscriptions, and add-ons. Trial length, trial scope, plan features, limits, prices, and add-on availability may change from time to time.
By subscribing, you authorise Worthic or its payment processor to charge applicable fees, taxes, and recurring subscription amounts according to the plan you select.
If you change subscription plans during a billing period, Worthic may apply a credit for the unused remainder of the current plan according to the billing process then in effect.
10. Cancellations and refunds
You may cancel a subscription according to the account or billing controls provided. Cancellation takes effect at the end of the current billing period unless we state otherwise.
Fees are non-refundable except where required by law or where Worthic expressly agrees in writing. Plan changes may result in account credit for the unused remainder of the current plan.
11. Taxes
Advertised or listed fees are inclusive of applicable VAT, sales tax, GST, or similar transaction taxes unless stated otherwise at checkout or on the invoice. You are responsible for any other taxes, duties, levies, withholding, or similar charges arising from your use of the Service, except taxes based on Worthic's income.
12. Data export and deletion
Worthic aims to provide users with reasonable export tools for workspace data and documents.
If a workspace is deleted, Worthic retains workspace data and documents for 14 days to allow export and recovery. After that period, production data is scheduled for deletion or de-identification, subject to limited retention in backups, logs, audit records, billing records, security records, legal holds, and compliance records.
Deletion of an account or workspace may be irreversible after the retention window.
13. Service availability and changes
We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, third-party outages, security events, force majeure, or operational issues.
We may change, suspend, or discontinue features, plans, limits, workflows, or integrations. If a material change negatively affects paid users, we will take reasonable steps to provide notice where practical.
14. Security
Worthic uses reasonable technical and organisational safeguards. You remain responsible for protecting your credentials, managing access permissions, reviewing workspace membership, and maintaining secure devices and networks.
You must notify us promptly at hello@worthic.ai if you suspect unauthorised access or misuse.
15. Privacy
Our Privacy Policy explains how we collect, use, store, share, and protect personal information. By using the Service, you acknowledge our Privacy Policy.
If you upload personal information about others, you are responsible for having a lawful basis and providing any required notices or consents.
16. Intellectual property
Worthic and its licensors retain all rights in the Service, software, design, interfaces, workflows, models, documentation, trademarks, trade names, and related intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as permitted by these Terms or applicable law.
Feedback you provide may be used by Worthic without restriction or compensation, provided we do not disclose your confidential customer content except as described in our Privacy Policy or a written agreement.
17. Confidentiality
Customer content is treated as confidential. Worthic may access, use, and disclose customer content only as allowed by these Terms, our Privacy Policy, your instructions, or applicable law.
You must keep non-public Worthic information confidential, including private beta materials, security details, pricing not publicly disclosed, and technical information marked or reasonably understood as confidential.
18. Third-party services
The Service may depend on or integrate with third-party services such as hosting, storage, email, AI processing, payment, analytics, or external integrations. Worthic is not responsible for third-party services outside our control, although we select and manage subprocessors according to our privacy and security obligations.
Your use of third-party services may be subject to their own terms and policies.
19. Suspension and termination
We may suspend or terminate access if:
- you breach these Terms;
- fees are overdue;
- your use creates security, legal, operational, or reputational risk;
- required by law, sanctions, payment networks, or regulators;
- we need to protect the Service, Worthic, users, or third parties.
Where practical, we will provide notice and an opportunity to remedy. We may act immediately where needed for security, legal compliance, or harm prevention.
20. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available". Worthic disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, uninterrupted operation, and error-free performance.
We do not guarantee that documents, AI outputs, reports, categories, calculations, integrations, or suggestions will be accurate, complete, compliant, or suitable for your circumstances.
21. Limitation of liability
To the maximum extent permitted by law, Worthic will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or loss-of-profit damages, or for loss of revenue, goodwill, data, business opportunity, or anticipated savings.
To the maximum extent permitted by law, Worthic's total aggregate liability arising from or relating to the Service or these Terms is limited to the fees paid by you to Worthic for the Service in the three months before the event giving rise to the claim, or USD 100 if no fees were paid.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
22. Indemnity
You agree to indemnify and hold Worthic harmless from claims, losses, liabilities, damages, costs, and expenses arising from your customer content, your breach of these Terms, your unlawful use of the Service, your violation of third-party rights, or your failure to comply with applicable laws.
23. Consumer rights
Nothing in these Terms limits rights that cannot be waived under consumer protection, data protection, or other applicable mandatory laws.
24. Governing law and disputes
These Terms are governed by the laws of South Africa, without regard to conflict-of-law rules.
The parties will first try to resolve disputes informally by contacting hello@worthic.ai. If a dispute cannot be resolved informally, it will be handled by the competent courts of South Africa, unless applicable mandatory law gives you another right.
25. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users. Continued use of the Service after changes take effect means you accept the updated Terms.
